  1. Use of the site

    These terms and conditions of use (including the P-PACT Privacy Policy constitute an agreement between you (the site user) and P-PACT regarding your access to information, services, products and materials presented on the publicpartners.org site ("the site"). By accessing this site you agree to be legally bound by these terms and conditions of use as may be modified and posted from time to time ("Agreement").

  2. Internet regulation and subscription arrangements

    2.1 In recognising the global nature of the Internet, you agree to comply with all local rules regarding online conduct. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United Kingdom or the country in which you reside.

    2.2 The P-PACT site includes certain additional information, services, products and materials presented on and available through an area of the site called 'FOI+' which is available by subscription ("the Service"). By accessing that part of the site and using the Service, you agree to be legally bound by the parts of the Agreement which apply to the Service.

    2.3 You agree to pay the annual subscription fee for the Service by standing order or by annual invoices raised by P-PACT, and you further agree (where your subscription is paid by an organisation such as your employer) that only members or employees of your organisation shall use the Service and that the maximum number of users within your organisation shall be the number of account holders agreed within your subscription account.

    2.4 If you are dissatisfied with the Service, you may cancel your subscription by giving three months' written notice to P-PACT at PO Box 4120, Frome, Somerset, BA11 2WH. The current year's subscription fee will not be refunded to you in the event of such cancellation. If cancellation of the subscription is made within the 3 year initial period, and/or at annual renewal, 3 months subscription and £30.00 administration charge will be payable.

  3. Indemnity

    You agree to indemnify and hold P-PACT, and its subsidiaries, affiliates, officers, agents or partners and employees, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your use of the site or the Service, your connection to the site or the Service, your breach of this Agreement, or your breach of any rights of another.

  4. Termination

    P-PACT may in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this Agreement may be effected without prior notice, and acknowledge and agree that P-PACT may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that P-PACT shall not be liable to you or any third party for any termination of your access to the Service.

  5. Links and posted material

    5.1 Certain elements of this website will contain links to other web sites. These are provided by P-PACT in good faith and are for information only. P-PACT disclaims any responsibility for the materials contained in any web site linked to this site, and you acknowledge and agree that P-PACT is not responsible for the availability of such external sites or resources.

    5.2 You further acknowledge and agree that P-PACT shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

    5.3 Certain elements of this website will contain material which is posted on the site by Service users and third parties. Material posted by users does not necessarily reflect the views of P-PACT, and P-PACT accepts no responsibility for the content or accuracy of such material nor for any consequences that may arise from your acting on any material so posted.

    5.4 By posting materials on this site, you represent that you have all necessary rights in and to such materials and that such materials will not infringe any personal or proprietary rights of any third parties, nor will such materials be defamatory, unlawful, threatening, obscene or otherwise objectionable.

    5.5 Under no circumstances will P-PACT be liable in any way for any information, data, text, software, music, sound, photographs, graphics, video, messages or other materials originating from you or from a third party, including, but not limited to, any errors or omissions in any content. P-PACT will not be liable for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted or otherwise made available via the site.

    5.6 P-PACT reserves the right, at its sole discretion, to review, edit or delete any material posted by users which P-PACT deems defamatory, unlawful, threatening, obscene or otherwise objectionable.

  6. Intellectual Property and Proprietary Rights

    6.1 www.publicpartners.org; www.foisa.info; and www.foi-plus.org together with the P-PACT logo, trademarks and service marks/service names are trademarks of P-PACT, a division of Gifford Owen Ltd (the "P-PACT Marks"). You agree not to display or use in any manner, the P-PACT Marks without P-PACT's prior permission.

    6.2 You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws.

  7. IP rights and website access

    7.1 Unless otherwise stated all intellectual property rights throughout the world (including without limitation copyright, registered and unregistered trade marks and database rights) are the sole property of P-PACT or its licensors and any relevant trade marks used are the property of their respective owners. Save as permitted by law and/or as set out below, none of this material must be used, reproduced or distributed in any form or medium, now known or hereafter invented, without prior permission in writing from the relevant intellectual property rights owner.

    7.2 You may print or download to your local hard disk extracts from these pages for your personal use only. You may not download or modify it or any part of it except with prior written consent of P-PACT.

    7.3 You may recopy extracts from these pages ("the Material") to private third party individuals for their personal use, provided that:

    7.3.1 you acknowledge P-PACT as the source of the Material. Such acknowledgement should include reference to the www.foi-plus.org P-PACT web address in the copy of the Material and the words "© P-PACT 2005-06";

    7.3.2 you inform the third party that these conditions apply to him and that he must comply with them.

    7.4 This licence to recopy does not permit incorporation of the Material or any part of it in any other work or publication, whether in hard copy or electronic or any other form. In particular (but without limitation) no part of the P-PACT website may be distributed or copied for any commercial purpose save as permitted below.

    7.5 If you subscribe to the Service, you may in addition print or download extracts from the pages comprising the Service for use by you within your organisation for the purposes of that organisation only and you may also recopy Material from those pages for other individuals within your organisation for use by them (and them only) for the purposes of the organisation. The preceding provisions of 7.3.1 and 7.3.2 shall apply to any such recopying.

  8. Disclaimer and Liability

    8.1 P-PACT makes no warranties or representations of any kind concerning the accuracy or suitability of the information contained on this website for any purpose. All such information is provided "as is" and with disclaimer of any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. You agree that your use of this site is at your sole risk.

    8.2 P-PACT makes no warranties or representations of any kind that the services provided by this web site will be uninterrupted, error-free or that the web site or the server that hosts the web site are free from viruses or other forms of harmful computer code.

    8.3 The advice given by the "Helpdesk" is not in any way intended to substitute for the legal advice available in specific cases. Advice given by the "Helpdesk" service is general and relates to opinion in respect of general issues.

    8.4 In no event shall P-PACT, its employees or agents be liable for special, indirect, consequential, or incidental damages or loss of use, arising out of or related to the use of the P-PACT website or the information contained in it. This exclusion and limitation only applies to the extent permitted by law and is without prejudice to any express provisions to the contrary in any written licence or subscription agreement from P-PACT in respect of the use of any online service provided via this web site.

    8.5 Any exclusion of liability will not apply to any loss or damage arising from:

    8.5.1 fraudulent misrepresentation by P-PACT, its employees or agents; or

    8.5.2 death or personal injury caused by the negligence of P-PACT or its employees or agents.

  9. Applicable Law

    This Agreement shall be subject to English law and the parties submit to the non-exclusive jurisdiction of the English Courts.
